Aprova, para ratificação, as emendas à Convenção Relativa à Organização Europeia de Telecomunicações por Satélite (EUTELSAT), adoptadas e confirmadas pela 26.ª Assembleia daquela Organização, realizada em Cardiff, de 18 a 20 de Maio de 1999.
A Assembleia da República resolve, nos termos da alínea i) do artigo 161.º e do n.º 5 do artigo 166.º da Constituição, aprovar, para ratificação, as emendas à Convenção Relativa à Organização Europeia de Telecomunicações por Satélite (EUTELSAT), aprovada, para ratificação, pelo Decreto do Governo n.º 36/85, de 25 de Setembro, adoptadas e confirmadas pela 26.ª Assembleia daquela Organização, que teve lugar em Cardiff, de 18 a 20 de Maio de 1999, cujo texto original em francês e em inglês e a respectiva tradução em português seguem em anexo ao presente diploma.

CONVENTION AMENDÉE
Preâmbule
Les États Parties à la présente Convention:
Soulignant l'importance des télécommunications par satellite pour le développment des relations entre leurs peuples et leurs économies, ainsi que leur volonté de renforcer leur coopération en ce domaine;
Prenant acte du fait que l'Organisation européenne provisoire de télécommunications par satellite «EUTELSAT INTERIMAIRE» a été créée afin d'exploiter des secteurs spatiaux de systèmes européens de télécommunications par satellite;
Considérant les dispositions pertinentes du Traité sur les Principes régissant les activités des États en matière d'exploration et d'utilisation de l'espace extra-atmosphérique, y compris la Lune et les autres corps célestes, fait à Londres, Moscou et Washington le 27 janvier 1967;
Désirant poursuivre la mise en place et l'exploitation du système de télécommunications par satellite EUTELSAT dans le cadre d'un réseau transeuropéen de télécommunications, afin d'offrir des services de télécommunications à tous les États participants, sans préjudice des droits et obligations des Étas qui sont parties aux accords communautaires et internationaux pertinents;
Reconnaissant la nécessité de suivre l'évolution technique, économique, réglementaire et politique en Europe et dans le monde et de s'y adapter en tant que de besoin, et en particulier la volonté de transferer les activités opérationnelles et les actifs correspondants d'EUTELSAT à une société anonyme relevant d'une juridiction nationale, cette société étant gérée sur une saine base économique et financière, conformément aux principes agréés en matière commerciale et à l'Arrangement;
sont convenus de ce qui suit:
Article I
Définitions
Aux fins de la présente Convention:
Le terme «Convention» désigne la Convention portant création de l'Organisation européenne de télécommunications par satellite «EUTELSAT», y compris son préambule et ses annexes, ouverte à la signature des Gouvernements à Paris, le 15 juillet 1982, telle qu'ultérieurement amendée;
L'expression «Accord provisoire» désigne l'Accord relatif à la constitution d'une organisation européenne provisoire de télécommunications par satellite «EUTELSAT INTERIMAIRE», conclu à Paris le 13 mai 1977 entre Administrations ou Exploitations privées reconnues compétentes, et déposé auprès de l'Administration française;
L'expression «Accord ECS» désigne l'Accord additionnel à l'Accord provisoire, relatif au secteur spatial du système de télécommunications par satellite du service fixe (ECS), fait à Paris le 10 mars 1978;
Le terme «Partie» désigne un État à l'égard duquel la Convention est entrée en vigueur ou est appliquée à titre provisoire;
L'expression «Directeur général d'EUTELSAT» désigne le chef de l'organe exécutif d'EUTELSAT;
L'expression «Secrétaire exécutif d'EUTELSAT» désigne le chef du Secrétariat d'EUTELSAT;
L'expression «Société Eutelsat, S. A.», désigne une société régie par les lois de l'une des Parties: elle sera initialement implantée en France;
L'expression «secteur spatial» désigne un ensemble de satellites de télécommunications ainsi que les installations de poursuite, de télémesure, de télécommande, de contrôle, de surveillance et les autres équipements associés, nécessaires au fonctionnement de ces satellites;
L'expression «système à satellites» désigne l'ensemble constitué par un secteur spatial et par les stations terriennes ayant accès à ce secteur spatial;
Le terme «télécommunications» désigne toute transmission, émission ou réception de signes, de signaux, d'écrits, d'images, de sons ou de renseignements de toute nature, par fil, radioélectricité, optique ou autres systèmes électromagnétiques;
L'expression «principes de base» désigne les principes visés à l'article III, a), de la Convention;
Le terme «Arrangement» désigne l'Arrangement entre EUTELSAT et la Société Eutelsat, S. A., ayant pour obets de définir les relations entre EUTELSAT et la Société Eutelsat, S. A., ainsi que leurs obligations respectives, et notamment de fournir un cadre permettant à EUTELSAT d'assurer la supervision et le respect par la Société Eutelsat, S. A., des principes de base.
Article II
Création d'EUTELSAT et de la Société Eutelsat, S. A.
Par la présente Convention, les Parties créent l'Organisation européenne de télécommunications par satellite, ci-après dénommée EUTELSAT.
b):
La Société Eutelsat, S. A., est créée pour exploiter un système à satellites et fournir des services satellitaires et, à cette fin, les actifs et activités opérationnelles d'EUTELSAT sont transférés à la Société Eutelsat, S. A.;
ii) La Société Eutelsat, S. A., est régie par ses instruments constitutifs et par les lois du pays de sa constitution;
iii) Toute Partie sur le territoire de laquelle le siège de la Société Eutelsat, S. A., est établi ou sur lequel des actifs sont situés et/ou exploités prend, conformément aux arrangements devant être conclus entre la Partie et la Société Eutelsat, S. A., les mesures nécessaires pour faciliter la création et le fonctionnement de la Société Eutelsat, S. A.
Les relations entre EUTELSAT et la Société Eutelsat, S. A., sont définies dans l'Arrangement.
Les dispositions pertinentes de l'annexe A de la Convention ont pour but d'assurer la continuité entre les activités d'EUTELSAT et celles de la Société Eutelsat, S. A.
Article III
But d'EUTELSAT
EUTELSAT a pour but principal de veiller à ce que la Société Eutelsat, S. A., respecte les principes de base énoncés dans le présent article, à savoir:
Obligations de service public/service universel: ces obligations s'appliquent au secteur spatial et à son utilisation pour offrir des services connectés au réseau téléphonique public commuté; pour ce qui est des services audiovisuels et des services futurs, ils seront offerts en conformité avec les réglementations nationales et les accords internationaux pertinents, en particulier avec les dispositions de la Convention européenne sur la télévision transfrontière et en tenant compte de celles qui s'appliquent au concept de service universel et à la société de l'information;
ii) Couverture paneuropéenne du système à satellites: grâce à la couverture paneuropéenne de son système à satellites, la Société Eutelsat, S. A., s'efforce de desservir, sur une base économique, toutes les zones où il existe un besoin de services de communications dans les États membres;
iii) Non-discrimination: les services sont fournis aux utilisateurs sur une base équitable, sous réserve de souplesse commerciale et de conformité avec la législation en vigueur;
iv) Concurrence loyale: la Société Eutelsat, S. A., se conforme à toutes les lois et réglementations en vigueur en matière de concurrence.
EUTELSAT a également pour but d'assurer la continuité en matière de droits et obligations internationaux découlant de l'exploitation du secteur spatial d'EUTELSAT transfére à la Société Eutelsalt, S. A., notamment aux termes du Règlement des radiocommunications en ce qui concerne l'utilisation des fréquences.
Article IV
Personnalité juridique
EUTELSAT a la personnalité juridique.
EUTELSAT a toute la capacité requise pour exercer ses fonctions et atteindre ses objectifs, et peut notamment:
Passer des contrats;
ii) Acquérir, prendre à bail, détenir et ceder des biens meubles et immeubles;
iii) Ester en justice;
iv) Conclure des accordes avec des États ou des organisations internationales.
Article V
Coûts
Des arrangements sont conclus entre EUTELSAT et la Société Eutelsat, S. A., pour couvrir les coûts et dépenses d'EUTELSAT, conformément à l'Arrangement.
Les coûts afférents à l'établissement et au fonctionnement du Secrétariat, comprenant, sans pour autant s'y limiter, les frais de location et d'entretien de ses locaux, les salaires et émoluments de son personnel, les frais d'organisation et de tenue des réunions de l'Assemblée des Parties, les frais de consultation entre EUTELSAT et les Parties et d'autres organisations et les coûts afférents à l'application des mesures prises par EUTELSAT en vertu de l'article III afin de veiller à ce que la Société Eutelsat, S. A., respecte les principes de base, sont assumés par la Société Eutelsat, S. A., conformément aux dispositions du paragraphe a) de l'article V, dans la limite du plafond fixé par l'Arrangement.
Article VI
Structure d'EUTELSAT
EUTELSAT comprend les organes suivants:
L'Assemblée des Parties;
ii) Le Secrétariat, dirigé par le Secrétaire exécutif.
Chaque organe agit dans la limite des attributions qui lui sont conférées par la Convention.
Article VII
Assemblée des Parties - Composition et réunions
L'Assemblée des Parties est composée de toutes les Parties.
Une Partie peut en charger une autre de la représenter à une réunion de l'Assemblée des Parties, mais aucune Partie ne peut y représenter plus de deux autres Parties.
La première réunion ordinaire de l'Assemblée des Parties est convoquée dans l'année qui suit la date d'entrée en vigueur de la Convention. Les réunions ordinaires se tiennent par la suite tous les deux ans, sauf si l'Assemblée des Parties, lors d'une réunion ordinaire, décide que la réunion ordinaire suivante se tiendra à une échéance différente.
L'Assemblée des Parties peut également tenir des réunions extraordinaires à la demande d'une ou de plusieurs Parties, sous réserve de l'acceptations d'au moins un tiers des Parties ou à la demande de la Société Eutelsat, S. A. Toute demande de réunion extraordinaire doit être motivée.
Chaque Partie couvre ses propres frais de représentation lors des réunions de l'Assemblée des Parties.
Article VIII
Assemblée des Parties - Procédure
Chaque Partie dispose d'une voix à l'Assemblée des Parties. Les Parties qui s'abstiennent au cours d'un vote sont considérées comme n'ayant pas voté.
Les décisions portant sur des questions de fond sont prises par un vote affirmatif émis par au moins les deux tiers des Parties présentes ou représentées et votantes. Une Partie qui représente une ou deux autres Parties, en application des dispositions du paragraphe b) de l'article VII de la Convention, peut voter séparément pour chaque Partie qu'elle représente.
Les décisions portant sur des questions de procédure sont prises par un vote affirmatif émis à la majorité simple des Parties présentes et votantes, chacune disposant d'une voix.
Pour toute réunion de l'Assemblée des Parties, le quorum est constitué par les représentants de la majorité simple de toutes les Parties, à condition qu'au moins un tiers de toutes les Parties soient présentes.
L'Assemblée des Parties adopte son propre règlement intérieur, qui doit être conforme aux dispositions de la Convention et qui prévoit notamment:
Le mode d'élection du président et des autres membres du bureau;
ii) La procédure de convocation de ses réunions;
iii) Les dispositions relatives à la représentation et à l'accréditation;
iv) Les procédures de vote.
Article IX
Assemblée des Parties - Fonctions
L'Assemblée des Parties exerce les fonctions suivantes:
Elle examine les activités de la Société Eutelsat, S. A., en rapport avec les principes de base. La Société Eutelsat, S. A., peut faire des recommandations à cet égard qui seront prises en compte par l'Assemblée des Parties;
Elle veille au respect des principes de base par la Société Eutelsat, S. A., conformément à l'Arrangement;
Elle décide des changements qu'il est proposé d'apporter à l'Arrangement, des changements étant sous réserve d'accord entre les parties à l'Arrangement;
Elle prend les décisions nécessaires afin d'assurer la continuité en matière de droits et obligations internationaux découlant de l'exploitation du secteur spatial d'EUTELSAT transféré à la Société Eutelsat, S. A., notamment aux termes du Règlement des radiocommunications en ce qui concerne l'utilisation des fréquences;
Elle décide des questions touchant aux rapports officiels entre EUTELSAT et les États, qu'ils soient Parties ou non, ou les organisations internationales et, en particulier, elle négocie l'accord de siège mentionné au paragraphe c) de l'article XII de la Convention;
Elle décide de toute proposition visant à mettre fin à la Convention aux termes des dispositions du paragraphe c) de l'article XIV;
Elle examine les réclamations qui lui sont soumises par des Parties;
Elle adopte, en vertu des dispositions de l'article XIII de la Convention, les décisions concernant le retrait d'une Partie d'EUTELSAT;
Elle décide de toute proposition d'amendement à la Convention, conformément aux dispositions de l'article XIV de la Convention, et soumet à la Société Eutelsat, S. A., toute proposition d'amendement susceptible d'affecter la conduite de ses activités;
Elle décide de toute demande d'adhésion présentée, conformément aux dispositions du paragraphe e) de l'article XVIII de la Convention;
Aux termes de l'article X de la Convention, elle nomme le Secrétaire exécutif et peut le révoquer et, sur recommandation du Secrétaire exécutif, elle détermine les effectifs, le statut et les conditions d'emploi de tout les personnel du Secrétariat, en tenant dûment compte de l'Arrangement;
Elle désigne un haut fonctionnaire du Secrétariat, qui agit en qualité de Secrétaire exécutif par intérim, lorsque le Secrétaire exécutif est absent ou empêché d'exercer ses fonctions, ou lorsque le poste de Secrétaire exécutif est vacant;
Elle adopte un budget annuel ou bisannuel;
Elle approuve les changements du lieu d'implantation de la Société Eutelsat, S. A., conformément aux dispositions de l'Arrangement.
Article X
Secrétariat
Le Secrétariat est dirigé par le Secrétaire exécutif nommé par l'Assemblée des Parties.
La durée du mandat du Secrétaire exécutif est de quatre ans, à moins que l'Assemblée des Parties n'en décide autrement.
L'Assemblée des Parties peut révoquer le Secrétaire exécutif, par décision motivée, avant la fin de son mandat.
Le Secrétaire exécutif est le représentant légal d'EUTELSAT. Il agit sous l'autorité de l'Assemblée des Parties et il est directement responsable devant cette dernière de l'exécution de toutes les fonctions confiées au Secrétariat.
Le Secrétaire exécutif a le pouvoir de nommer tout le personnel du Secrétariat, sous réserve d'approbation de l'Assemblée, conformément aux dispositions du paragraphe k) de l'article IX.
En cas de vacance du poste de Secrétaire exécutif, ou lorsque celui-ci est absent ou empêché d'exercer ses fonctions, le Secrétaire exécutif par intérim, dûment désigné par l'Assemblée des Parties, dispose des pouvoirs conférés au Secrétaire exécutif par la Convention.
Le Secrétaire exécutif et le personnel du Secrétariat s'abstiennent de tout acte incompatible avec leurs responsabilités au sein d'EUTELSAT.
Article XI
Droits e obligations
Les Parties assument les droits et obligations que leur reconnaît la Convention de façon à respecter pleinement et à promouvoir les principes et les dispositions de la Convention.
Toutes les Parties peuvent participer à toutes les conférences et réunions auxquelles elles sont en droit d'être représentées, conformément aux dispositions de la Convention, ainsi qu'à toute autre réunion organisée par EUTELSAT ou tenue sous ses auspices, conformément aux dispositions prises par EUTELSAT pour ces réunions, indépendamment du lieu où elles se tiennent.
Avant toute conférence ou réunion tenue en dehors de l'État du siège d'EUTELSAT, le Secrétaire exécutif veille à ce que les dispositions arrêtées avec la Partie accueillant ladite conférence ou réunion comportent une clause relative à l'admission et au séjour dans l'État où se tient la conférence ou réunion, pour la durée de celle-ci, des représentants de toutes les Parties en droit d'y assister.
Article XII
Siège d'EUTELSAT, privilèges, exemptions et immunités
Le siège d'EUTELSAT est situé en France.
Dans le cadre des activités autorisées par la Convention, EUTELSAT et ses biens sont exonérés, sur le territoire de toutes les Parties, de tout impôt sur le revenu et impôt direct sur les biens et de tous droits de douane.
Chaque Partie, conformément au Protocole visé au présent paragraphe, accorde les privilèges, exemptions et immunités nécessaires à EUTELSAT, à ses fonctionnaires et aux autres catégories de son personnel spécifiées dans ledit Protocole, aux Parties et à leurs représentants, ainsi qu'aux personnes participant aux procédures d'arbitrage. En particulier, chaque Partie accorde à ces personnes, dans la limite et dans les cas qui seront prévus par le Protocole visé au présent paragraphe, l'immunité de juridiction pour les actes accomplis, les écrits ou les propos tenus dans l'exercice de leurs fonctions et dans les limites de leurs attributions. La Partie sur le territoire de laquelle est situé le siège d'EUTELSAT négocie, dès que possible, ou, le cas échéant, renégocie un accord de siège avec EUTELSAT portant sur les privilèges, exemptions et immunités. Les autres Parties doivent également, dès que possible, conclure un Protocole relatif aux privilèges, exemptions et immunités. L'accord de siège et le Protocole prévoient chacun les conditions dans lesquelles ils prennent fin et sont indépendants de la Convention.
Article XIII
Retrait
Toute Partie peut à tout moment se retirer volontairement d'EUTELSAT en le notifiant par écrit au dépositaire, tel que défini à l'article XXI. Le retrait prend effet trois mois après la date de réception de la notification par le dépositaire.
Si une Partie paraît avoir manqué à l'une des obligations qui lui incombent aux termes de la Convention, l'Assemblée des Parties, après en avoir été saisie ou agissant de sa propre initiative, et après avoir examiné toute observation présentée par ladite Partie, peut décider, si elle constate qu'il y a eu manquement à une obligation, que la Partie est réputée s'être retirée d'EUTELSAT. À partir de la date d'une telle décision, la Convention cesse d'être en vigueur à l'égard de la Partie concernée. L'Assemblée des Parties peut être convoquée en session extraordinaire à cette fin.
La Partie qui s'est retirée ou qui est réputée s'être retirée d'EUTELSAT cesse d'avoir tout droit de représentation à l'Assemblée des Parties et n'assume aucune obligation ou responsabilité après la date effective de retrait, sous réserve des obligations résultant d'actes ou d'omissions qui ont précédé cette date.
Toute notification de retrait ou toute décision d'exclusion doit être communiquée immédiatement par le dépositaire à toutes les Parties.
Article XIV
Amendements et extinction
Toute Partie peut proposer des amendements à la Convention. Les propositions d'amendement sont transmises au Secrétaire exécutif, qui en diffuse le texte, dans les meilleurs délais, à toutes les Parties. L'Assemblée des Parties n'étudie la proposition d'amendement qu'à l'issue d'un délai d'au moins six mois à partir de sa diffusion, en tenant dûment compte de toute recommandation faite par la Société Eutelsat, S. A., dont l'avis est sollicité lorsque la proposition d'amendement à la Convention est susceptible d'affecter la conduite de ses activités. L'Assemblée des Parties peut, dans un cas particulier, réduire ce délai par une décision prise conformément à la procédure prévue pour les questions de fond.
S'il est adopté par l'Assemblée des Parties, l'amendement entre en vigueur cent vingt jours après réception par le dépositaire de la notification d'acceptation de cet amendement par les deux tiers des États qui, à la date de son adoption par l'Assemblée des Parties, étaient des Parties. Lorsqu'il entre en vigueur, l'amendement devient obligatoire pour toutes les Parties.
Les Parties peuvent dissoudre EUTELSAT en mettant fin à la Convention par un vote à la majorité des deux tiers de toutes les Parties.
L'extinction de la Convention ne remet pas en cause l'existence de la Société Eutelsat, S. A.
À moins qu'il n'en soit convenu autrement avec la Société Eutelsat, S. A., aucune décision de dissoudre EUTELSAT conformément au paragraphe c) du présent article n'est prise, tant que les droits et obligations internationaux mentionnés au paragraphe b) de l'article III ne sont pas entièrement éteints.
Article XV
Règlement des différends
Tout différend entre les Parties ou entre EUTELSAT et une ou plusieurs Parties, relatif à l'interprétation ou à l'application de la Convention, est soumis à arbitrage, conformément aux dispositions de l'annexe B de la Convention, s'il n'a pu être résolu autrement dans le délai d'un an à compter de la date à laquelle une partie au différend a notifié à l'autre partie son intention de régler le différend à l'amiable.
Tout différend relatif à l'interprétation et à l'application de la Convention, qui surgit entre une Partie et un État qui a cessé d'être Partie, ou entre EUTELSAT et un État qui a cessé d'être Partie, après que cet État a cessé d'être Partie, est soumis à arbitrage conformément aux dispositions de l'annexe B de la Convention, s'il n'a pu être résolu autrement dans le délai d'un an à compter de la date à laquelle une partie au différend a notifié à l'autre partie son intention de régler le différend à l'amiable, sous réserve que l'État qui a cessé d'être Partie y consente. Si un État cesse d'être Partie après la soumission à arbitrage d'un différend auquel il participe conformément au paragraphe a) du présent article, la procédure arbitrale se poursuit jusqu'à sa conclusion.
Article XVI
Signature - Réserves
Tout État dont l'administration des télécommunications ou l'exploitation privée reconnue est, ou a le droit de devenir, Partie Signataire de l'Accord provisoire peut devenir Partie à la Convention par:
Signature sans réserve de ratification, acceptation ou approbation; ou
ii) Signature sous réserve de ratification, acceptation ou approbation, suivie de ratification, acceptation ou approbation; ou
iii) Adhésion.
La Convention est ouverte à la signature à Paris du 15 juillet 1982 jusqu'à la date de son entrée en vigueur; elle reste ensuite ouverte à l'adhésion.
Aucune réserve ne peut être faite à la Convention.
Article XVII
Entrée en vigueur
La Convention entre en vigueur soixante jours après la data à laquelle les deux tiers des États qui, à la data d'ouverture à la signature de la Convention, ont juridiction sur les Parties Signataires de l'Accord provisoire, l'ont signée, conformément à l'alinéa i) du paragraphe a) de l'article XVI de la Convention, ou ratifiée, acceptée ou approuvée, pourvu que ces Parties Signataires, ou les signataires désignés par elles aux fins de l'Accord ECS, détiennent au moins deux tiers des quotes-parts de financement au titre de l'Accord ECS.
La Convention ne peut entrer en vigueur moins de huit mois après la date à laquelle elle a été ouverte à la signature. Elle n'entre pas en vigueur si elle n'a pu faire l'objet des signatures, ratifications, acceptations ou approbations requises par les dispositions du paragraphe a) du présent article dans les trente-six mois suivant la date de son ouverture à la signature.
Lorsqu'un instrument de ratification, d'acceptation, d'approbation ou d'adhésion est déposé par un État après la date d'entrée en vigueur de la Convention, celle-ci entre en vigueur à l'égard dudit État à la date de dépôt de son instrument.
Dès son entrée en vigueur, la Convention est appliquée à titre provisoire à l'égard de tout État qui l'a signée sous réserve de ratification, acceptation ou approbation et qui en a fait la demande au moment de la signature ou à tout moment avant l'entrée en vigueur. L'application à titre provisoire cesse:
Soit au moment du dépôt d'un instrument de ratification, d'acceptation ou d'approbation par cet État;
ii) Soit à l'expiration de la période de deux ans qui suit la date d'entrée en vigueur de la Convention, si celle-ci n'a pas été ratifiée, acceptée ou approuvée par cet État;
iii) Soit dès notification par cet État, avant l'expiration de la période mentionnée à l'alinéa ii) du présent paragraphe, de sa décision de ne pas ratifier, accepter ou approuver la Convention.
Si l'application à titre provisoire cesse en vertu de l'alinéa ii) ou de l'alinéa iii) du présent paragraphe, les dispositions du paragraphe c) de l'article XIII de la Convention régissent les droits et obligations de la Partie.
Lors de son entrée en vigueur, la Convention se substitue et met fin à l'Accord provisoire. Toutefois, aucune disposition de la Convention n'affecte les droits ou obligations qu'une Partie aurait acquis antérieurement en tant que Partie Signataire de l'Accord provisoire.
Article XVIII
Adhésion
Tout État dont l'administration des télécommunications ou l'exploitation privée reconnue était, ou avait le droit de devenir, à la date à laquelle la Convention a été ouverte à la signature, Partie Signataire de l'Accord provisoire, peut adhérer à la Convention à compter de la date à laquelle celle-ci aura cessé d'être ouverte à la signature jusqu'à l'expiration d'un délai de deux ans après l'entrée en vigueur de la Convention.
Les dispositions des paragraphs c) à e) du présent article s'appliquent aux demandes d'adhésion émanant des États suivants:
Un État dont l'administration des télécommunications ou l'exploitation privée reconnue était, ou avait le droit de devenir, à la date à laquelle la Convention a été ouverte à la signature, Partie Signataire de l'Accord provisoire, mais qui n'est pas devenu Partie à la Convention, conformément aux dispositions des alinéas i) ou ii) du paragraphe a) de l'article XVI de la Convention, ou du paragraphe a) du présent article;
ii) Tout autre État européen membre de l'Union internationale des télécommunications qui souhaite adhérer à la Convention après son entrée en vigueur.
Tout État qui désire adhérer à la Convention dans les conditions mentionnées au paragraphe a) du présent article (dénommé ci-après «l'État demandeur») en avise par écrit le Secrétaire exécutif et fait parvenir à celui-ci toutes les informations concernant la demande.
Le Secrétaire exécutif reçoit la demande de l'État demandeur et la soumet à l'Assemblée des Parties.
L'Assemblée des Parties se prononce sur la requête de l'État demandeur dans les six mois qui suivent la date à laquelle le Secrétaire exécutif a décidé qu'il est en possession de toutes les informations demandées en vertu du paragraphe c) du présent article. La décision du Secrétaire exécutif est communiquée sans délai à l'Assemblée des Parties. La décision de l'Assemblée des Parties est prise au scrutin secret et conformément à la procédure prévue pour les décisions portant sur des questions de fond. Une session extraordinaire de l'Assemblée des Parties peut être convoquée à cet effet.
Le Secrétaire exécutif notifie à l'État demandeur les conditions d'adhésion établies par l'Assemblée des Parties. Ces conditions d'adhésion font l'objet d'un protocole annexé à l'instrument d'adhésion que l'État concerné dépose auprès du dépositaire.
Article XIX
Responsabilité
Aucune Partie n'encourt de responsabilité individuelle pour les actes et obligations d'EUTELSAT, sauf si ladit responsabilité résulte d'un traité auquel cette Partie et l'État demandant réparation sont parties. Dans ce cas, EUTELSAT indemnise la Partie concernée des sommes qu'elle a acquittées, à moins que ladite Partie ne se soit expressément engagée à assumer seule une telle responsabilité.
Article XX
Dispositions diverses
Les langues officielles et de travail d'EUTELSAT sont le français et l'anglais.
EUTELSAT collabore, en tenant compte des directives générales de l'Assemblée des Parties sur les questions d'intérêt commun, avec l'Organisation des Nations Unies et ses institutions spécialisées, en particulier l'Union internationale des télécommunications, ainsi qu'avec d'autres organisations internationales.
Conformément aux dispositions de la Résolution 1721 (XVI) de l'Assemblée générale des Nations Unies, EUTELSAT adresse, à titre d'information, au Secrétaire général des Nations Unies et aux institutions spécialisées intéressées un rapport annuel sur ses activités. Le rapport annuel est également adressé à la Société Eutelsat, S. A.
Article XXI
Dépositaire
Le Gouvernement de la République française est le dépositaire de la Convention, auprès duquel sont déposés les instruments de ratification, d'acceptation, d'approbation ou d'adhésion, les demandes d'application à titre provisoire, ainsi que les notifications de ratification, d'acceptation ou d'approbation des amendements, et de décision de retrait d'EUTELSAT ou de mettre fin à l'application provisoire de la Convention.
La Convention est déposée dans les archives du dépositaire. Celui-ci transmet des copies certifiées conformes du texte de la Convention à tous les États qui l'ont signée, ou qui ont déposé leurs instruments d'adhésion, ainsi qu'a l'Union internationale des télécommunications.
Le dépositaire informe au plus tôt tous les États qui ont signé la Convention ou qui y ont adhéré et, s'il y a lieu, l'Union international des télécommunications:
De toute signature de la Convention;
ii) Du dépôt de tout instrument de ratification, d'acceptation, d'approbation ou d'adhésion;
iii) Du commencement de la période de soixante jours mentionnée au paragraphe a) de l'article XVII de la Convention;
iv) De l'entrée en vigueur de la Convention;
De toute demande d'application à titre provisoire, conformément au paragraphe d) de l'article XVII de la Convention;
vi) De la nomination du Secrétaire exécutif, visée au paragraphe a) de l'article X de la Convention;
vii) De l'adoption et de l'entrée en vigueur de tout amendement à la Convention;
viii) De toute notification de retrait;
ix) De toute décision de l'Assemblée des Parties visée au paragraphe b) de l'article XIII de la Convention, lorsqu'une Partie est réputée s'être retirée d'EUTELSAT;
De toute autre notification ou communication ayant trait à la Convention.
Lors de l'entrée en vigueur de la Convention, le dépositaire transmet une copie certifiée conforme de la Convention au Secrétariat de l'Organisation des Nations Unies pour enregistrement et publication, conformément aux dispositions de l'article 102 de la Charte des Nations Unies.
En foi de quoi les soussignés, dûment autorisés par leurs gouvernements respectifs, ont signé la présente Convention (ver nota *).
Ouverte à la signature à Paris, ce quinzième jour du mois de juillet mille neuf cent quatre-vingt-deux en langues française et anglaise, les deux textes faisant également foi, en un seul exemplaire.

ANNEXE A
Dispositions transitoires
1 - Continuité des activités
Tout accord passé par EUTELSAT et qui est en vigueur à la date à laquelle est créée la Société Eutelsat, S. A., demeure en vigueur, sauf dans le cas et jusqu'au moment où il est modifié ou résilié conformément aux dispositions dudit accord. Toute décision prise par EUTELSAT et qui est en vigueur à la date à laquelle est créée la Société Eutelsat, S. A., demeure en vigueur, sauf dans le cas et jusqu'au moment où cette décision est modifiée ou résiliée.
Si, au moment où est créée la Société Eutelsat, S. A., un organe d'EUTELSAT a engagé, mais n'a pas achevé une action qui a fait l'objet d'une autorisation ou qui est requise, le Secrétaire exécutif ou le premier Président du directoire de la Société Eutelsat, S. A., dans le cadre de leurs attributions respectives, et conformément aux dispositions convenues entre EUTELSAT et la Société Eutelsat, S. A., se substitue à cet organe dans le but de mener à bien cette action.
2 - Méthode de transfert
EUTELSAT conclut avec la Société Eutelsat, S. A., un accord (le «Traité d'Apport») en vue du transfert de tout ou partie de son actif et de son passif se rattachant à son activité (tel que plus amplement précisé dans le Traité d'Apport) à la Société Eutelsat, S. A. (le «transfert»).
Le transfert entraîne une transmission universelle de tous les droits, biens et obligations compris dans le patrimoine se rattachant à l'activité transférée qui est considérée comme constituant une branche complète et autonome d'activité. Ce transfert produit les mêmes effets que ceux découlant du régime des scissions par applications des articles 382 et suivants de la loi française n.º 66-537 du 24 juillet 1966 relative aux sociétés commerciales, sans, toutefois, que les obligations et formalités pesant sur la société apportteuse aux termes des dispositions de ladite loi soient applicables à EUTELSAT.
Indépendamment de ce qui précède, le transfert est opposable erga omnes à compter de la date prévue au Traité d'Apport sans que soit requise la notification à, ou le consentement de, toute personne, y compris les créanciers. Le transfert est opposable de la même manière à toute personne liée à EUTELSAT par contrat intuitu personae.
3 - Gestion
En ce qui concerne l'alinéa 2, c), ci-dessus, tout le personnel de l'Organe exécutif d'EUTELSAT a le droit d'être transféré à la Société Eutelsat, S. A., et les personnes exerçant ce droit bénéficient, à la date de leur transfert, de conditions de travail qui sont, dans la mesure où elles sont conformes au droit français, au moins équivalentes à celles dont elles bénéficiaient immédiatement avant cette date.
En ce qui concerne les personnes qui, à la date du transfert, reçoivent des prestations en vertu du Règlement de pensions d'EUTELSAT, elles continuent de les recevoir conformément à toutes les dispositions pertinentes dudit Règlement en vigueur à la date du transfert.
En ce qui concerne les personnes qui, à la date du transfert, ont acquis des droits à prestations en vertu du Règlement de pensions d'EUTELSAT, des mesures appropriées sont prises pour préserver ces droits.
Conformément au paragraphe 1 de la présente annexe, les conditions de travail du personnel en vigueur continuent de s'appliquer jusqu'à ce que la Société Eutelsat, S. A., en établisse de nouvelles.
Jusqu'à l'entrée en fonction du premier Président du directoire de la Société Eutelsat, S. A., et du premier Secrétaire exécutif, le Directeur général d'EUTELSAT assume leurs fonctions respectives.
4 - Transfert des fonctions d'EUTELSAT à la Société Eutelsat, S. A., et au Secrétaire exécutif
À la date de création de la Société Eutelsat, S. A., et du Secrétariat, le Directeur général d'EUTELSAT informe tous les intéressés de cette création.
Le Directeur général d'EUTELSAT, en sa qualité de représentant légal d'EUTELSAT, prend toutes les mesures pour assurer en temps voulu le transfert à la Société Eutelsat, S. A., et au Secrétaire exécutif de tous les droits et obligations acquis par EUTELSAT.
ANNEXE B
Procédure d'arbitrage
1 - Un tribunal d'arbitrage est institué conformément aux dispositions des paragraphes suivants pour statuer sur tout différend visé à l'article XV de la Convention.
2 - Toute Partie à la Convention peut s'associer à l'une ou l'autre partie au différend dans le cadre d'un arbitrage.
3 - Le tribunal d'arbitrage est composé de trois membres. Chaque partie au différend désigne un arbitre dans un délai de deux mois à compter de la date de réception de la demande par une partie de soumettre le différend à arbitrage. Lorsque l'article XV de la Convention exige l'accord des parties au différend pour soumettre le différend à arbitrage, le délai de deux mois est calculé à partir de la date dudit accord. Les deux premiers arbitres désignent, dans un délai de deux mois à compter de la date de désignation du deuxième arbitre, le troisième arbitre, qui préside le tribunal d'arbitrage. Si l'un des deux arbitres n'a pas été désigné dans le délai requis, il est désigné, à la demande de l'une ou l'autre partie, par le Président de la Cour internationale de Justice ou, em cas de désaccord entre les parties, par le secrétaire général de la cour permanente d'arbitrage. La même procédure s'applique si le président du tribunal d'arbitrage n'a pas été désigné dans le délai requis.
4 - Le tribunal d'arbitrage choisit son siège et établit son règlement intérieur.
5 - Chaque partie prend à sa charge les frais de l'arbitre qu'elle a désigné ainsi que les frais de représentation devant le tribunal. Les frais du président du tribunal d'arbitrage sont partagés de manière égale entre les parties au différend.
6 - La sentence du tribunal d'arbitrage est rendue à la majorité des membres, qui ne peuvent s'abstenir au cours du vote. Ladite sentence est définitive et lie les parties au différend. Il ne peut être interjeté appel de cette sentence. Les parties se conforment à la sentence arbitrale immédiatement. En cas de différend portant sur sa signification ou sa portée, le tribunal d'arbitrage l'interprète à la demande de l'une quelconque des parties au différend.
AMENDED CONVENTION
Preamble
The States Parties to this Convention:
Underlining the importance of telecommunications by satellite for the development of relations between their peoples and their economies, and their desire to strengthen their co-operation in this field;
Noting that the Provisional European Telecommunications Satellite Organization «INTERIM EUTELSAT» was established for the purpose of operating space segments of European telecommunications satellite systems;
Considering the relevant provisions of the Treaty on Principles Governing the Activities of States in the Exploration and Use of Outer Space, Including the Moon and Other Celestial Bodies, done at London, Moscow and Washington on 27 January 1967;
Wishing to continue the establishment and operation of the EUTELSAT telecommunications satellite system as part of a trans-European telecommunications network for providing telecommunications services to all participating States, without prejudice to the rights and obligations of the States Parties to the relevant European union and other international agreements;
Recognizing the need to keep under review and, as necessary, to adapt to technical, economic, regulatory and political developments in Europe and globally, and, in particular, the will to transfer the operational activities and associated assets of EUTELSAT to a limited liability company to be established under a national jurisdiction, such company to operate on a sound economic and financial basis having regard to accepted commercial principles, and to the Arrangement;
agree as follows:
Article I
Definitions
For the purposes of this Conventions:
«Convention» means the Convention establishing the European Telecommunications Satellite Organization «EUTELSAT» including its preamble and its annexes, opened for signature by Governments at Paris on 15 July 1982 as subsequently amended;
«Provisional Agreement» means the Agreement on the Constitution of a Provisional European Telecommunications Satellite Organization «INTERIM EUTELSAT», done at Paris on 13 May 1977 between Administrations or Recognized Private Operating Agencies and deposited with the French Administration;
«ECS Agreement» means the Supplementary Agreement to the Provisional Agreement relating to the space segment of the Satellite Telecommunications System for Fixed Service (ECS), done at Paris on 10 March 1978;
«Party» means a State for which the Convention has entered into force or has been provisionally applied;
«The Director General of EUTELSAT» means the head of the executive organ of EUTELSAT;
«The Executive Secretary of EUTELSAT» means the head of the Secretariat of EUTELSAT;
«The Company Eutelsat, S. A.», means a corporate entity established under the laws of one of the Parties; it will initially be located in France;
«Space segment» means a set of telecommunications satellites, and the tracking, telemetering, command, control, monitoring and related facilities and equipment for the operational support of those satellites;
«Satellite system» means the unit formed by a space segment and the earth stations having access to that space segment;
«Telecommunications» means any transmission, emission or reception of signs, signals, writing, images and sounds or intelligence of any nature, by wire, radio, optical or other electromagnetic systems;
«The basic principles» means the principles referred to in article III, a), of the Convention;
«The Arrangement» means the Arrangement between EUTELSAT and the Company Eutelsat, S. A., having as its purposes to define the relationship between EUTELSAT and the Company Eutelsat, S. A., and their respective obligations and in particular to provide the framework that will enable EUTELSAT to oversee and ensure the observance by the Company Eutelsat, S. A., of the basic principles.
Article II
Establishment of EUTELSAT and the Company Eutelsat, S. A.
The Parties hereby establish the European Telecommunications Satellite Organization, hereinafter referred to as EUTELSAT.
b):
The Company Eutelsat, S. A., will be established to operate a satellite system and to provide satellite services and for this purpose, EUTELSAT's assets and operational activities will be transferred to the Company Eutelsat, S. A.;
ii) The Company Eutelsat, S. A., shall be governed by its constituent instruments and by the laws of the place of its incorporation;
iii) Any Party in whose territory the Company Eutelsat, S. A.'s, headquarters are settled or in which assets are located and/or operated shall, in accordance with arrangements to be made between the Party and the Company Eutelsat, S. A., take such measures as may be necessary to facilitate the establishment and operation of the Company Eutelsat, S. A.
The relationship between EUTELSAT and the Company Eutelsat, S. A., shall be established in the Arrangement.
The relevant provisions of annex A to the Convention shall apply for the purpose of continuity between the activities of EUTELSAT and those of the Company Eutelsat, S. A.
Article III
Purposes of EUTELSAT
The primary purpose of EUTELSAT is to ensure that the basic principles set forth in this article are observed by the Company Eutelsat, S. A., namely:
Public service/universal service obligations: such obligations apply to space segment and to its use to provide services connected to the public swiched telephone network; audiovisual services and future services will be provided in conformity with the relevant national regulations and international agreements, in particular the provisions of the European Convention on Transfrontier Television, taking account of those applying to the universal service concept and the information society;
ii) Pan-European coverage by the satellite system: the Company Eutelsat, S. A., shall, on an economic basis, seek through the pan-European coverage of its satellite system to serve all areas where there is a need for communications services in Member States;
iii) Non discrimination: services shall be provided to users on an equitable basis subject to commercial flexibility and consistent with applicable laws;
iv) Fair competition: the Company Eutelsat, S. A., shall comply with all applicable laws and regulations relating to fair competition.
EUTELSAT shall also have the purpose of ensuring continuity regarding rights and obligations under international law, in particular under the Radio Regulations for the use of frequencies deriving from the operation of the EUTELSAT space segment transferred to the Company Eutelsat, S. A.
Article IV
Legal personality
EUTELSAT shall have legal personality.
EUTELSAT shall enjoy the full capacity necessary for the exercise of its functions and the achievement of its purposes, and may in particular:
Enter into contracts;
ii) Acquire, lease, hold and dispose of movable and immovable property;
iii) Be a party to legal proceedings;
iv) Conclude agreements with States or international organizations.
Article V
Costs
Arrangements shall be concluded between EUTELSAT and the Company Eutelsat, S. A., to meet costs and expenses of EUTELSAT, according to the Arrangement.
The costs incurred in establishing and operating the Secretariat, including, but not limited to rent and associated costs of maintaining office premises, salaries and emoluments of staff, costs of organizing and holding meetings of the Assembly of Parties, the costs of consultations between EUTELSAT and the Parties and other organizations and costs of applying measures taken by EUTELSAT under article III to ensure that the basic principles are observed by the Company Eutelsat, S. A., shall be borne by the Company Eutelsat, S. A., in accordance with paragraph a) of article V, within the relevant ceilings set forth in the Arrangement.
Article VI
Structure EUTELSAT
EUTELSAT shall have the following organs:
The Assembly of Parties;
ii) The Secretariat, headed by the Executive Secretary.
Each organ shall act within the limits of the powers that are conferred upon it by the Convention.
Article VII
Assembly of Parties - Composition and meetings
The Assembly of Parties shall be composed of all the Parties.
A Party may be represented by another Party in a meeting of the Assembly of Parties, but no Party may represent more than two other Parties.
The first ordinary meeting of the Assembly of Parties shall be convened within one year after the date on which the Convention enters into force. Ordinary meetings shall thereafter be held every two years unless the Assembly of Parties decides at an ordinary meeting that the following meeting shall be held at a different interval.
The Assembly of Parties may also hold extraordinary meetings at the request of one ore more Parties supported by at least one-third of the Parties or at the request of the Company Eutelsat, S. A. Such a request shall state the purpose of the meeting.
Each Party shall meet its own costs of representation at meetings of the Assembly of Parties.
Article VIII
Assembly of Parties - Procedure
Each Party shall have one vote in the Assembly of Parties. Parties abstaining from voting shall be considered as not voting.
Decisions on matters of substance shall be taken by an affirmative vote cast by at least two-thirds of the Parties present or represented and voting. A Party which represents one or two other Parties under paragraph b) of article VII of the Convention may vote separately for each Party it represents.
Decisions on procedural matters shall be taken by an affirmative vote cast by a simple majority of the Parties present and voting, each having one vote.
A quorum for any meeting of the Assembly of Parties shall consist of representatives of a simple majority of all the Parties, provided that no less than one-third of all the Parties are present.
The Assembly of Parties shall adopt its rules of procedure, which shall be consistent with the provisions of the Convention and which, in particular, shall include provisions for:
Election of its chairman and other officers;
ii) Convening of meetings;
iii) Representation and accreditation;
iv) Voting procedures.
Article IX
Assembly of Parties - Functions
The Assembly of Parties shall have the following functions:
To consider and to review the activities of the Company Eutelsat, S. A., which relate to the basic principles. The Company Eutelsat, S. A., may make recommendations in this connection which will be considered by the Assembly of Parties;
To ensure observance by the Company Eutelsat, S. A., of the basic principles, in accordance with the Arrangement;
To take decisions on proposed changes to the Arrangement, such changes being subject to mutual agreement of the Parties to the Arrangement;
To take the appropriate decisions in order to ensure continuity regarding rights and obligations under international law, in particular under the Radio Regulations for the use of frequencies deriving from the operation of EUTELSAT Space Segment transferred to the Company Eutelsat, S. A.;
To take decisions on formal relations between EUTELSAT and States, whether Parties or not, or international organizations, and in particular to negotiate the headquarters agreement mentioned in paragraph c) of article XII of the Convention;
To take decisions on any proposal to terminate the Convention pursuant to paragraph c) of article XIV;
To consider complaints submitted to it by Parties;
To take decisions under article XIII of the Convention about the withdrawal of a Party from EUTELSAT;
To decide upon any proposal for amendment to the Convention under article XIV of the Convention, and to submit to the Company Eutelsat, S. A., any proposed amendment that is liable to affect the performance of its activities;
To decide upon any request for accession made in accordance with paragraph e) of article XVIII of the Convention;
As required under article X of the Convention, to decide upon the appointment and removal from office of the Executive Secretary, and, upon the recommendation of the Executive Secretary, to determine the number, status and terms and conditions of employment of all staff of the Secretariat with due consideration to the Arrangement;
To designate a senior officer of the Secretariat to serve as Acting Executive Secretary whenever the Executive Secretary is absent or is unable to discharge duties of the office of Executive Secretary, or if this office becomes vacant;
To adopt an annual or biennial budget;
To approve changes in the location of the Company Eutelsat, S. A., in accordance with the Arrangement.
Article X
The Secretariat
The Secretariat shall be headed by the Executive Secretary appointed by the Assembly of Parties.
The term of office of the Executive Secretary shall be four years, unless otherwise decided by the Assembly of Parties.
The Assembly of Parties may remove the Executive Secretary for cause before the end of his term of office.
The Executive Secretary shall be the legal representative of EUTELSAT. The Executive Secretary shall act under the direction of the Assembly of Parties and shall be directly responsible to it for the performance of all functions of the Secretariat.
The Executive Secretary shall have the power to appoint all Secretariat staff subject to the approval of the Assembly under article IX, k).
During any vacancy in the office of the Executive Secretary or when the Executive Secretary is absent or unable to discharge his duties, the Acting Executive Secretary, duly designated by the Assembly of Parties, shall have the capacity to exercise the powers of the Executive Secretary under the Convention.
The Executive Secretary and the staff of the Secretariat shall refrain from any action incompatible with their responsibilities to EUTELSAT.
Article XI
Rights and obligations
The Parties shall exercise their rights and meet their obligations under the Convention in a manner fully consistent with and in furtherance of the principles and provisions of the Convention.
All Parties may attend and participate in all conferences and meetings in which they are entitled to be represented under any of the provisions of the Convention, and in any other meetings called by or held under the auspices of EUTELSAT in accordance with the arrangements made by it for such meetings, regardless of where they may take place.
Before any such conference or meeting is held outside the country in which the headquarters of EUTELSAT is established, the Executive Secretary shall ensure that arrangements with the host Party for each such conference or meeting include a provision for the admission to and residence in the host country during such conference or meeting of representatives of all Parties entitled to attend.
Article XII
EUTELSAT headquarters, privileges, exemptions, immunities
The headquarters of EUTELSAT shall be in France.
Within the scope of activities authorized by the Convention, EUTELSAT and its property shall be exempt in the territory of all Parties from income and direct property taxation and from customs duties.
Each Party shall grant in accordance with the Protocol referred to in this paragraph the appropriate privileges, exemptions and immunities to EUTELSAT, to its officers, and to those categories of its employees specified in such Protocol, to Parties and representatives of Parties, and to persons participating in arbitration proceedings. In particular, each Party shall grant to these individuals immunity from legal process in respect of acts done or words written or spoken in the exercise of their functions and within the limits of their duties to the extent and in the cases to be provided for in the Protocol referred to in this paragraph. The Party in whose territory the headquarters of EUTELSAT is located shall, as soon as possible, negotiate, or, as the case may be, re-negotiate with EUTELSAT a headquarters agreement covering privileges, exemptions and immunities. The other Parties shall also, as soon as possible, conclude a Protocol covering privileges, exemptions and immunities. The headquarters agreement and the Protocol shall each prescribe the conditions of its termination and shall be independent of the Convention.
Article XIII
Withdrawal
Any Party may withdraw voluntarily from EUTELSAT at any time by written notice to the depositary as defined in article XXI. Such withdrawal shall take effect three months after the date of receipt of the notice by the depositary.
If a Party appears to have failed to comply with any obligation under the Convention, the Assembly of Parties, having received notice to that effect or acting on its own initiative, and having considered any representations made by the Party, may decide, if it finds that the failure to comply has occurred, that the Party be deemed to have withdraw from EUTELSAT and, from the date of such decision, the Convention shall cease to be in force for that Party. An extraordinary meeting of the Assembly of Parties may be convened for this purpose.
A Party which has withdrawn or is deemed to have withdrawn from EUTELSAT shall cease to have any right of representation in the Assembly of Parties and shall incur no obligations or responsibility after the effective date of withdrawal except for liabilities arising from acts or omissions before that date.
Every notification of a withdrawal and every decision effecting a deemed withdrawal shall be communicated at once to all Parties by the depositary.
Article XIV
Amendments and termination
Amendments to the Convention may be proposed by any Party and shall be communicated to the Executive Secretary who shall promptly circulate the proposals to all the Parties. The Assembly of Parties shall consider the proposed amendment not earlier than six months from its circulation, taking due account of any recommendation made by the Company Eutelsat, S. A., whose views shall be solicited if the proposed amendment to the Convention is liable to affect the performance of its activities. This period may, in any particular case, be reduced by the Assembly of Parties by a decision taken in accordance with the procedure for a matter of substance.
If adopted by the Assembly of Parties, the amendment shall enter into force one hundred and twenty days after the depositary has received notices of acceptance from two-thirds of those States which, at the time of adoption by the Assembly of Parties, were Parties. Upon its entry into force, the amendment shall become binding upon all Parties.
The Parties may bring EUTELSAT to an end by termination of the Convention by a two-thirds majority of all Parties.
The termination of the Convention shall not affect the continued existence of the Company Eutelsat, S. A.
Unless otherwise agreed with the Company Eutelsat, S. A., no decision to terminate EUTELSAT under paragraph c) of this article shall be taken as long as the international rights and obligations mentioned in paragraph b) of article III have not been entirely extinguished.
Article XV
Settlement of disputes
All disputes arising between Parties or between EUTELSAT and a Party or Parties in connection with the interpretation or application of the Convention shall be submitted to arbitration in accordance with annex B to the Convention, if not otherwise settled within one year of the time a party to the dispute has notified the other party of its intention to settle such a dispute amicably.
All disputes arising in connection with the interpretation and application of the Convention between a Party and a State which has ceased to be a Party, or between EUTELSAT and a State which has ceased to be a Party, and which arise after the State has ceased to be a Party, shall be submitted to arbitration in accordance with the provisions of annex B to the Convention, if not otherwise settled within one year of the time a party to the dispute has notified the other party of its intention to settle such a dispute amicably, provided that the State which has ceased to be a Party so agrees. If a State ceases to be a Party after a dispute to which it is a disputant has been submitted to arbitration under paragraph a) of this article, the arbitration shall be continued and concluded.
Article XVI
Signature - Reservations
Any State whose telecommunications Administration or Recognized Private Operating Agency is, or has the right to become, a signatory Party to the Provisional Agreement may become a Party to the Convention by:
Signature not subject to ratification, acceptance or approval; or
ii) Signature subject to ratification, acceptance or approval, followed by ratification, acceptance or approval; or
iii) Accession.
The Convention shall be open for signature at Paris from 15 July 1982 until it enters into force and thereafter open for accession.
Not reservation may be made to the Convention.
Article XVII
Entry into force
The Convention shall enter into force sixty days after the date on which it has been signed, in accordance with subparagraph i) of paragraph a) of article XVI of the Convention, or has been ratified, accepted or approved, by two-thirds of the States which at the date on which it is opened for signature, have jurisdiction over Signatory Parties to the Provisional Agreement provided that those Signatory Parties, or their designated Signatories to the ECS Agreement, hold at least two thirds of the financial shares under the ECS Agreement.
The Convention shall not enter into force less than eight months after the date on which it is opened for signature. The Convention shall not enter into force if it has not been signed, ratified, accepted or approved under paragraph a) of this article, within thirty six months of the date on which it is opened for signature.
For a State whose instrument of ratification, acceptance, approval or accession is deposited after the date on which the Convention enters into force, the Convention shall enter into force and the date of such deposit.
Upon entry into force, the Convention will be applied provisionally for any State which has signed it subject to ratification, acceptance or approval and has so requested at the time of signature or at any later time before entry into force. Provisional application shall end:
Upon deposit of an instrument of ratification, acceptance or approval by that State; or
ii) At the end of two years from the date on which the Convention enter into force without having been ratified, accepted or approved by that State; or
iii) Upon notification by that State, before the end of the period mentioned in subparagraph ii) of this paragraph, of its decision not to ratify, accept or approve the Convention.
When provisional application ends under subparagraph ii) or iii) of this paragraph c) of article XIII of the Convention shall govern the rights and obligations of the Party.
Upon entry into force, the Convention shall replace and terminate the Provisional Agreement. However, nothing in the Convention shall affect any right or obligation of a Party acquired in its former capacity as a Signatory Party to the Provisional Agreement.
Article XVIII
Accession
Any State whose telecommunications administration or recognized private operating agency was, or had the right to become, a Signatory Party to the Provisional Agreement at the date on which the Convention is opened for signature, may accede to the Convention from the date on which it ceases to be open for signature, until two years after its entry into force.
The provisions of paragraphs c) to e) of this article shall apply to requests for accession by the following States:
A State whose telecommunications administration or recognized private operating agency was, or had the right to become, a Signatory Party to the Provisional Agreement at the date on which the Convention was opened for signature, which has not become a Party to the Convention in accordance with subparagraphs i) or ii) of paragraph a) of article XVI of the Convention, or paragraph a) of this article;
ii) Any other European State which is a member of the International Telecommunication Union wishing to accede to the Convention after its entry into force.
Any State that wishes to accede to the Convention in the circumstances mentioned in paragraph a) of this article «the applicant State» shall so notify the Executive Secretary in writing and shall supply the latter with all information relevant to the application.
The Executive Secretary shall receive the application of the applicant State and shall submit the same to the Assembly of Parties.
The Assembly of Parties shall take a decision on the applicant State's request within six months following the date on which the Executive Secretary decides that he or she is in possession of all the information required under paragraph c) of this article. The decision of the Executive Secretary shall be promptly notified to the Assembly of Parties. The decision of the Assembly of Parties shall be taken by secret vote and in accordance with the procedure for decisions on matters of substance. An extraordinary meeting of the Assembly of Parties may be convened for this purpose.
The Executive Secretary shall notify the applicant State of the conditions for accession established by the Assembly of Parties, which shall be the subject of a protocol annexed to the instrument of accession to be deposited by the said State with the depositary.
Article XIX
Liability
No Party shall be individually liable for the acts and obligations of EUTELSAT, except where such liability results from a treaty to which that Party and a State claiming compensation are parties. In that case, EUTELSAT shall indemnify the Party concerned in respect of any such liability, unless the latter has expressly undertaken to assume exclusively such liability.
Article XX
Miscellaneous provisions
The official and working language of EUTELSAT shall be English and French.
EUTELSAT shall, having regard to the general views of the Assembly of Parties, cooperate on matters of common interest with the United Nations and its specialized agencies, in particular the International Telecommunication Union, and other international organizations.
To comply with Resolution 1721 (XVI) of the General Assembly of the United Nations, EUTELSAT shall send to the Secretary General of the United Nations, and to the specialized agencies concerned, for their information, an annual report on its activities. The annual report shall also be sent to the Company Eutelsat, S. A.
Article XXI
Depositary
The Government of the French Republic shall be the depositary for the Convention, with which shall be deposited instruments of ratification, acceptance, approval or accession, requests for provisional application and notifications of ratification, acceptance or approval of amendments, and of decisions to withdraw from EUTELSAT or of termination of the provisional application of the Convention.
The Convention shall be deposited in the archives of the depositary. The depositary shall send certified copies of the text of the Convention to all States that have signed it or deposited instruments of accession to it, and to the International Telecommunication Union.
The depositary shall promptly inform all States which have signed or acceded to the Convention and, if necessary, the International Telecommunication Union of:
All signatures of the Convention;
ii) The deposit of all instruments of ratification, acceptance, approval or accession;
iii) The start of the sixty-day period referred to in paragraph a) of article XVII of the Convention;
iv) The entry into force of the Convention;
All requests for provisional application under paragraph d) of article XVII of the Convention;
vi) The appointment of the Executive Secretary under paragraph a) of article X of the Convention;
vii) The adoption and entry into force of all amendments to the Convention;
viii) All notifications of withdrawal;
ix) All decisions by the Assembly of Parties under paragraph b) of article XIII of the Convention that a Party is deemed to have withdrawn from EUTELSAT;
All other notifications and communicationi about the Convention.
Upon entry into force of the Convention, the depositary shall send to the Secretariat of the United Nations, for registration and publication in accordance with article 102 of the Charter of the United Nations, confirmed certified copies of the Convention.

ANNEX A
Transitional provisions
1 - Continuity of activities
Any agreement entered into by EUTELSAT and which is in effect at the time the Company Eutelsat, S. A., is established shall remain in effect, unless and until modified or terminated in accordance with the provisions of that agreement. Any decision taken by EUTELSAT and which is in effect at the time the Company Eutelsat, S. A., is established shall remain in effect unless and until that decision is modified or terminated.
If, at the time the Company Eutelsat, S. A., is established, any organ of EUTELSAT has embarked on, but not completed, any action which it is authorized or required to take, the Executive Secretary or the first Chief Executive Officer of the Company Eutelsat, S. A., within their respective powers, and in accordance with arrangements made between EUTELSAT and the Company Eutelsat, S. A., shall stand in the place of that organ for the purpose of completing such action.
2 - Method of transfer
EUTELSAT shall enter into a transfer agreement (the «Transfer Agreement») with the Company Eutelsat, S. A., to transfer any or all of its assets and liabilities relating to its activity (as more fully set out in the Transfer Agreement) to the Company Eutelsat, S. A. (the «transfer»).
The transfer will result in a universal transfer of all right, title, interest and benefit to, and all obligations and liabilities attaching to, the assets and liabilities so transferred and the assets and liabilities so transferred shall constitute a complete and autonomous branch of activity. Such transfer shall have the same effects as a spin off («scission») transfer of activity provided under article 382 et seq. Of the French law n.º 66-537 of 24 July 1966 relating to commercial companies, except that none of the obligations and formalities normally binding upon the transferor (société apporteuse) under such law shall be applicable to EUTELSAT.
In particular, and without prejudice to the foregoing, the transfer shall take effect erga omnes as of the date specified in the Transfer Agreement without requering the notification to, or the consent or approval of, any person, including any person to whom any such obligations and liabilities are owed. The transfer shall take effect in the same manner with respect to any person with whom EUTELSAT has entered into any agreement of an intuitu personae nature.
3 - Management
With respect to 2, c), above, all personnel of the Executive Organ of EUTELSAT shall have the right to be transferred to the Company Eutelsat, S. A., and persons exercising this right shall as at the date of their transfer enjoy terms and conditions of employment that are, so far as consistent with French law, at least equivalent to those which they enjoyed immediately prior to the date of their transfer.
With respect to persons who, at the date of the transfer, are in receipt of benefits under the Rules of the EUTELSAT Pension Scheme, such benefits shall continue to be paid in accordance with all of the relevant provisions of those Rules which were in force as at the date of transfer.
With respect to persons who, at the date of the transfer, have acquired rights to receive benefits under the Rules of the EUTELSAT Pension Scheme, appropriate arrangements shall be made in order to preserve those rights.
In accordance with paragraph 1 of this annex, the conditions of employment of personnel in force shall continue to apply until new conditions of employment are drawn up by the Company Eutelsat, S. A.
Until the first Chairman of the Directorate of the Company Eutelsat, S. A., and the first Executive Secretary assume office their respective functions shall be performed by the Director General of EUTELSAT.
4 - Transfer to the Company Eutelsat, S. A., and to the Executive Secretary of the functions of EUTELSAT
On the date of establishment of the Company Eutelsat, S. A., and of the Secretariat the Director General of EUTELSAT shall inform all concerned.
The Director General of EUTELSAT shall take all measures for a timely transfer to the Company Eutelsat, S. A., and the Executive Secretary of all rights and obligations acquired by EUTELSAT, in its capacity as legal representative of EUTELSAT.
ANNEX B
Arbitration procedure
1 - For the purposes of adjudicating upon any dispute referred to in article XV of the Convention an arbitration tribunal shall be established in accordance with the following paragraphs.
2 - Any Party to the Convention may join either party to the dispute in the arbitration.
3 - The arbitration tribunal shall consist of three members. Each party to the dispute shall nominate one arbitrator within a period of two months reckoned from the date of receipt of the request by one party to refer the dispute to arbitration. Where article V of the Convention requires the agreement of the disputes to refer the dispute to arbitration, the period of two months shall be reckoned from the date of that agreement. The first two arbitrators shall, within a period of two months reckoned from the nomination of the second arbitrator, nominate the third arbitrator, who shall be the chairman of the arbitration tribunal. If one of the two arbitrators has not been nominated within the required period, he shall, at the request of either party, be nominated by the President of the International Court of Justice or, if there is no agreement between the parties, the Secretary General of the Permanent Arbitration Court. The same procedure shall apply if the chairman of the arbitration tribunal has not been nominated within the required period.
4 - The arbitration tribunal shall determine its seat and establish its own rules of procedure.
5 - Each party shall bear the cost relating to the arbitrator for whose nomination it is responsible, as well as the costs of being represented before the tribunal. The expenditure relating to the chairman of the arbitration tribunal shall be shared equally by the parties to the dispute.
6 - The award of the arbitration tribunal shall be made by a majority of its members, who may not abstain from voting. This award shall be final and binding on all parties to the dispute and no appeal shall lie against it. The parties shall comply with the award without delay. In the event of a dispute as to its meaning or scope, the arbitration tribunal shall interpret it at the request of any party to the dispute.
